On 17 September 2026, Madis Toomsalu, a member of the Supervisory Boards of IPAS Indexo and INDEXO Bank, acquired 40,000 IPAS Indexo shares outside a trading venue in a private placement at EUR 10.00 per share. The total value of the transaction is EUR 400,000.

The shares were acquired at the same price as in IPAS Indexo’s share issue completed in August and have been paid for in full. The resulting increase in IPAS Indexo’s share capital will be registered and announced separately.
The shares are subject to a three-year lock-up approved by the Extraordinary Shareholders’ Meeting on 1 July 2026, during which they cannot be sold. As compensation for the restriction on disposal, the holder is entitled to an amount equal to 15% of the invested sum once the lock-up expires.
IPAS Indexo discloses transactions in its shares by persons discharging managerial responsibilities and persons closely associated with them, as required by Article 19 of the Market Abuse Regulation. The signed notification is attached.
